SPECIAL MESSAGE FROM YOUR TRUSTEES REGARDING WACHOVIA BANK

October 7, 2008

Dear Brothers and Sisters,

Wachovia Corporation, the record keeper for the Sheet Metal Local 10 Supplemental Retirement Fund announced on Friday that they were being bought by Wells Fargo Bank.  This transaction will not be final for a few months, but the combination is friendly and Wells Fargo will become responsible for all of Wachovia’s business and obligations.  Wachovia Retirement Plan Services, the division of Wachovia Corporation that provides services to our Fund, will also become part of Wells Fargo.

Wells Fargo is a triple-A (“AAA”) rated financial firm with a strong capital position, so this acquisition improves the financial strength of our record keeper.  Wells Fargo is also in the retirement plan business, so they should understand what is necessary to maintain a high level of services to our Fund.

What does this mean for my retirement account?
Your retirement assets are held in trust and are not part of the assets of the bank, so your account is secure.  All of the key employees in Minneapolis and Charlotte, who currently service your account, will remain in their jobs and there should be no interruptions in the services that they provide to the Fund.  In the future, we expect the two retirement plan business to be combined, but we are hopeful that this will improve the range of services available to our Fund.

What are the Trustees doing about this change?
The Trustees are in close contact with both Wachovia and Wells Fargo and they are evaluating how the merger will affect the Fund.  An initial examination of the administrative and investment services provided by Wachovia is underway and we are satisfied that there will be no interruption of services.  In addition, the Trustees have directed the Fund’s Independent Investment Consultant to conduct an on-site review of Wachovia to examine how these changes might affect their long-term relationship with the Fund.

Do I need to do anything with my account?
You do not to need to take any actions due to this change at Wachovia.  However, the merger of the bank is a reflection of the much wider financial problems that are affecting our economy.  In anticipation of these economic problems, the Trustees have taken a number of steps to reduce the risks in the SMW 10 Core Fund.  The diversification of the Core Fund will help secure your account through the market turmoil.  If you self-direct your retirement account, check to make sure that you are well diversified and invested appropriately to achieve your individual objectives.
